Terms of Service

1. Agreement
These Terms of Service (“Terms”) govern your access to and use of Chopsbill’s websites, applications, APIs, and related services (collectively, the “Service”). By creating an account, accessing, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to the organization.
2. Eligibility
You must be able to form a binding contract in your jurisdiction and not be barred from using the Service under applicable law. If you permit others to collaborate on bills, you are responsible for their compliance with these Terms to the extent applicable.
3. Accounts and security
You must provide accurate information and keep your credentials confidential. You are responsible for activity under your account unless you promptly notify us of unauthorized use. We may suspend or terminate accounts that violate these Terms or present security risk.
4. The Service
Chopsbill helps groups record expenses and view suggested settlements. The Service does not move money on your behalf unless explicitly integrated with a payment provider, and any such integration will be subject to additional terms from that provider. Calculations and exports are provided for convenience; you remain responsible for verifying amounts, taxes, reimbursements, and any financial decisions.
5. User content and licenses
You retain rights to content you submit (“User Content”). You grant us a worldwide, non-exclusive license to host, process, transmit, display, and distribute User Content solely to operate, secure, and improve the Service. You represent that you have all rights necessary to grant this license. You must not upload unlawful, infringing, or malicious content.
6. Acceptable use
You agree not to:
- Violate laws or third-party rights.
- Probe, scan, or test the vulnerability of the Service, or bypass security or access controls.
- Use the Service to distribute malware, spam, or deceptive materials.
- Reverse engineer the Service except where permitted by law.
- Mine data from the Service through automated means without written permission.
- Interfere with other users’ enjoyment of the Service.
7. Privacy
Our collection and use of personal information is described in the Privacy Policy, which is incorporated by reference.
8. Third-party services
The Service may integrate with third parties (for example, Google sign-in or payment processors). Your use of those features is also governed by the third party’s terms and privacy policy. We are not responsible for third-party services.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL CHOPSBILL OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) FIFTY U.S. DOLLARS (USD $50) IF YOU HAVE NOT PAID FEES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
11. Indemnity
You will defend, indemnify, and hold harmless Chopsbill and its affiliates, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your User Content, your use of the Service, or your violation of these Terms or applicable law.
12. Suspension and termination
We may suspend or terminate access to the Service for violations of these Terms or operational reasons. You may stop using the Service at any time. Provisions that by their nature should survive termination (including Sections 5, 9–11, 14–16) will survive.
13. Changes to the Service and Terms
We may modify the Service or these Terms. If we make material changes, we will provide reasonable notice (for example, by posting an updated effective date or in-app notice). Your continued use after the effective date constitutes acceptance, except where applicable law requires a different process.
14. Governing law and disputes
Unless a different governing law is specified by the operator of your deployment, these Terms are governed by the laws of the jurisdiction the operator designates, without regard to conflict-of-law principles. Courts in that jurisdiction will have exclusive venue, unless mandatory consumer protections require otherwise.
15. Export compliance
You must comply with export control and sanctions laws. You may not use the Service in embargoed countries or by prohibited parties.
16. Miscellaneous
These Terms constitute the entire agreement between you and us regarding the Service and supersede prior agreements on the same subject. If a provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
